Wacky Willagers ByLaws

Article I- Name of Organization

The name of this organization shall be the Wacky Willagers, hereinafter referred to as the "Club".

Article II- Purpose

The purpose of the Club shall be:

  1. To promote interest in, and to learn and share information about collectibles made by Department 56.
  2. To provide a social forum for collectors to meet on a regular basis.
  3. To educate members as to how to design and display their collection.
  4. To raise funds for accredited charities

Article III- Membership

Section 1- Membership shall be divided into four categories:

  1.   Individual membership.
  2. Joint membership--two persons in the same household at the same address sharing a membership.
  3. Junior membership (under the age of eighteen)
  4. Associate membership Commercial providers of Dept 56 merchandise or vendors who sell other related products or services.

Section 2- There are no restrictions as to the size of the overall membership. Go to top of this page.

Section 3- Membership in the club shall be non-transferable.

Section 4- A member in good standing shall be a member whose dues are fully paid for the current year. All members in good standing present at regularly scheduled and special meetings (with due notice to the membership) shall have the right to vote upon any proposition or elections for Club officers.

Section 5- A candidate for membership must complete an Application for Membership with tender of appropriate dues. A new member candidate need not be present at a meeting to be received as a member.

Article IV - Dues

Section 1 - The annual dues shall be:

    1. Ten dollars ($10.00) for individual membership.
    2. Fifteen dollars ($15.00) for joint membership.
    3. Five dollars ($5.00) for junior membership.
    4. Twenty-Five dollars ($25.00) for Associate membership.
    5. The sponsoring Dept 56 dealer shall be exempt from payment of dues.

Dues are non refundable.

Section 2- The membership year shall be from November 1- through October 31 of the following year. Dues shall be payable at the regularly scheduled November meeting and will be considered delinquent after November 31. Members who are two months delinquent shall be suspended from membership and removed from the mailing list until their membership dues are made current. Members joining the club after September 1 shall have his/her dues credited to the coming membership year. Go to top of this page.

Section 4- No member may represent the Club without the expressed permission of the Executive Board. No member may use the Club name or logo for any purpose. The logo is a copyright design.

Article V- Officers

Section 1- The officers of the Club shall consist of a president, vice president, recording secretary and treasurer each of who will be elected for a term of two (2) years. Duties of the officers shall be as described:

President- The president shall:
  • Preside at all meetings of the club.
  • Appoints committee chairs.
  • Appoint all standing committees.
  • Appoint all special committees.
  • Serve as ex officio member of all committees.
  • With the approval of the Executive Board appoint a member to fill the vacancy of an officer or committee chair for the un-expired portion of the term of office.
 
Vice President- The Vice President shall:
  • Perform the duties of the president in his/her absence.
  • Shall be responsible for program planning and coordinating the time and places for the Club meetings.
  •   Perform such duties as assigned by the Executive Board.
  • Upon resignation or death of the president assume the duties of the president for the remainder of the term of office.
 
Recording Secretary- The Secretary shall:
  • Record the minutes of all Club meetings.
  • Be the custodian of all Club records (excluding financial), Club contracts and correspondence.
  •   Have notice issued of all meetings of the Executive Board.
  • Sends notice of meetings, agenda and reference files (logs) to the newsletter chair for publication in the Club newsletter.
 
Treasurer- The Treasurer shall:
  •   Be responsible for all monies received by the Club and kept in a federally insured bank account.
  • Be responsible for and keep records of all receipts and disbursements of such funds.
  • Provide a written report of funds to the membership at each regularly scheduled meeting.
  • Present an annual budget.
  • Submit the books to the audit committee.
  • Perform such other duties as assigned by the Executive Board. Go to top of this page.

Article VI- Term of Office

Section 1- The officers shall be elected for a term of 2 (two) years. Elections shall take place at the November meeting and the new officers shall be installed at the first meeting of the new calendar year.

Section 2- Candidates for elected office must be over the age of eighteen (18) and must be members of the Wacky Willagers Club for 90 days prior to the announcement of the nominations.

Section 3- The president shall appoint a nominating committee of three members for the nomination of officers for the election year. The committee shall be appointed in August of the election year.

Section 4- The slate shall be presented at the November meeting. Additional nominations may be made from the floor during the November meeting with prior approval of the nominee.

Section 5- Elections shall be by written ballot except when there is but one nominee for each office. In the event there is one nominee for each office, the election will be by voice vote.

Section 6- Candidates shall be considered elected to office upon receiving a majority of votes cast by those members present.

Section 7- All members in good standing are eligible to vote for the officers of the Club.

Section 8- In the event that no candidate attains the required majority vote, the president shall call for a run off between the candidates who have tied and received the most votes.

Section 9- The immediate retiring president shall be a member of the Executive Board for a two (2) year term following his/her retirement.

Section 10- In the event that an office becomes vacant, the Executive Committee is empowered to appoint someone to fill that vacancy.

Section 11- The Executive Committee shall consist of nine members, the officers of the Club, the previous president and three chairpersons selected by the president. They shall meet in the months that a regular membership meeting is not scheduled, or at the call of the president to conduct such business as may be required.

Section 12- A quorum of the board shall be a simple majority. Go to top of this page.

Article VII- Meetings

Section 1- Regular meetings will be held at least six (6) times each year from November 1 to October 31. Special and regular meetings can be added or deleted by majority vote of the attending members.

Section 2- The time of each meeting will be 7:00 P.M. on the second Tuesday of the month of a regularly scheduled meeting.

Section 3- The time or day may be changed by a majority vote of the membership.

Section 4- Persons who have not joined the Club and have not paid their annual dues will be allowed to attend one membership meeting as a guest of the Club.

Section 5- No guest of the Club will be allowed to participate in a meeting/workshop unless they become a fully paid member at such meeting.

Section 6- All meetings and business shall be conducted in accordance with the revised edition of Robert’s Rules of Order.

Section 7- A quorum shall be a simple majority of the membership. Go to top of this page.

Article VIII- Checking Account

Section 1- All funds for the Club shall be kept in a checking account at a federally insured bank.

Section 2- There shall be two authorized signature persons on this account, requiring only one signature on a check. The Treasurer and the President are to be signers on this account.

Section 3- Any Club member in good standing upon written request to the Club may review the financial records of the club.

Section 4- The president will appoint an audit committee in October of each year for the purpose of reviewing the Club’s financial records. This review will be done before the November meeting and a report shall be given to the membership following the audit. The committee shall be comprised of three (3) members, none of whom are an officer. Go to top of this page.

Article IX- Sponsorship

There shall be an agreement between the sponsor of the Wacky Willagers and The Wacky Willagers Club spelled out under separate cover. Either party according to the terms of the agreement can cancel this sponsorship.

Article X- Affiliations

The Wacky Willager’s Club is a member of the National Council of "56" Clubs and will appoint one member to be the Club representative. The Board will instruct the Club representative as to the wishes of the Club on votes and issues brought before the NCC. This representative will inform the membership of any information received from the NCC. Go to top of this page.

Article XI- Ethics

Section 1- No individual (or immediate family member or one perceived to be an immediate family member or partner) may be nominated or elected or appointed to represent the Club who may profit from or advance his/her business through a commercial activity which is in any way related to the Department 56 product line or related activity.

Section 2- No member shall willfully injure the interests of a fellow member or perform any wrongful act by which the reputation or position of any member may be jeopardized. For gross violation of the rules of this organization, the president may direct the offending member to withdraw. The matter shall be referred to the Executive Board for any further action.Go to top of this page.

Article XII- Amendments

These bylaws may be amended at any regular meeting of this Club provided that notice of the proposed amendments were submitted in writing at the previous meeting and that all members were notified by mail of the proposed amendment.

Article XIII- Disclaimer

This Club is an independent, non-profit organization and is not sponsored by nor affiliated with Department 56, Inc., Eden Prairie, Minnesota. Members are required to respect the copyright, trademark and other property rights of Department 56, Inc., Eden Prairie, Minnesota

Article XIV- Dissolution

In the event of dissolution of the Wacky Willager’s Club any remaining assets/funds (after all legal debts have been paid) shall be donated to a charitable organization selected by the Executive Board. Go to top of this page.
